Objectives

This course aims to analyse contracts that are used in the business practice and to teach the principles that surround the drafting of such contracts. It also provides for an introduction to the art of negotiation.

Contents

This course addresses the following topics:

- principles and legal boundaries surrounding the drafting of contracts;

- drafting techniques;

- contracts and clauses of the business practice;

- principles and techniques of the art of negotiation.

The course is based on practical examples and requires the active participation of students.

The exam shall cover (i) general questions, (ii) questions based on the understanding and analysis of contractual clauses and (iii) a part consisting in the drafting of contractual clauses.

The quality of participation to the course (either orally or through written works) may be taken into account through the granting of a bonus up to 0.5 point on the final grade.
